Preamble
eversyn GmbH (hereinafter “eversyn”) develops and produces, among other things, high-quality nucleotide sugars and recombinant enzymes (glycosyltransferases und glycosidases), which are intended exclusively for scientific purposes (hereinafter "Goods"). eversyn sells the goods in particular to research institutes, universities and enterprises (hereinafter jointly "Customers").
§ 1 Scope
- These General Terms and Conditions of Sale (hereinafter referred to as "GTC") apply to all agreements on the sale of Goods, unless otherwise agreed.
- The GTC are an integral part of all contracts that eversyn concludes with Customers. They also apply to all future deliveries, services or offers, even if they are not separately agreed upon again.
- These GTC apply only to entrepreneurs, legal entities under public law and special funds under public law within the meaning of § 310 (1) BGB (German Civil Code).
- These GTC apply exclusively. Any deviating, conflicting or supplementary general terms and conditions of the Customer shall only become part of the contract if and insofar as eversyn has expressly agreed to their validity in writing. The requirement of the written form shall be met if an original signature or an electronic signature is used, if signed documents are transmitted by fax or as PDF document and – only in the case of online purchases – if any other documents without a signature are transmitted electronically or digitally for example an e-mail (“IN WRITING” or “WRITTEN”). eversyn not objecting to such TC shall not be considered as acknowledgment or consent to these, not even in the case of future contracts.
- The GTC shall apply instead of any possible TC even if according to the TC, acceptance regarding a Delivery shall be considered as unconditional acknowledgement of the TC or if eversyn performs a Delivery despite a reference by the Customer to the application of the TC unless eversyn has expressly waived the application of their GTC. The exclusion of the TC shall even apply if the GTC do not contain specific regulations regarding individual provisions. By confirming the acceptance of eversyn’s quotation (item 4.2 below) regarding the Delivery to the Cusotmer, the Customer shall expressly acknowledge to waive their objections derived from the TC.
§ 2 Specifications and Utilisation of Goods
- At the time of delivery, the Goods correspond in all essential respects to the product specifications which are published by eversyn specifically for the respective Goods on its website www.eversyn.de. eversyn reserves the right to make non-substantial changes to the specifications of the Goods.
- The Goods are intended and tested for the purpose of laboratory research and related educational purposes and may not be used for other purposes, unless eversyn expressly authorises other purposes. In particular, but not exclusively, Goods may not be used in in-vitro diagnostics, in the manufacture of food and pharmaceutical products, in medical devices or in cosmetic products.
- eversyn neither expressly nor implicitly gives guarantees in the sense of § 443 BGB (German Civil Code), including guarantees with regard to the general usability and merchantability or suitability for a specific purpose, with regard to the Goods
- The Customer shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the composition or underlying information, structure or ideas of any products.
§ 3 Offer and Conclusion of Contract
1. The Customer can view the Goods on the eversyn website and select them by clicking the ‘Add to basket’ button. Before the Customer places a binding order for the Goods, the Customer chooses a payment method (credit card, invoice) and must confirm that he
a. is an entrepreneur within the meaning of § 14 BGB (German Civil Code) and
b. has read these GTC.
By clicking the "Place Order & Pay" button, the Customer makes a binding contractual offer.
2. The offer shall be deemed accepted by eversyn upon completion of the ordering process on the website by the Customer. The conclusion of contract is subject to the condition precedent of the availability of the Goods. If the ordered Goods are not available, eversyn will inform the Customer immediately.
3. Goods in quantities of 1 g, or 50 Units for enzymes, or more (“Large Quantities”) are only sold via individual agreement between eversyn and the Customer. The Customer sends an order by email to eversyn and eversyn in turn sends the Customer individual conditions for the delivery of the Large Quantity. The contract shall only be concluded when the Customer confirms these conditions and eversyn then accepts the order by sending an order confirmation. If no order confirmation is sent, the contract shall be deemed concluded when eversyn delivers the Large Quantity. For the avoidance of doubt: Unless otherwise provided in these GTC, the provisions of these GTC shall also apply to Large Quantities.
§ 4 Delivery and Transfer of Risks
- The Customer’s order is decisive for the scope of delivery. For Large Quantities, the Order Confirmation (or the acceptance of the order by fulfillment if no Order Confirmation is issued) is decisive.
- Delivery shall be ex works eversyn, Building 25, Universitätsplatz 2, 39106 Magdeburg, Germany (EXW Incoterms 2020). The respective delivery obligation of eversyn is therefore fulfilled when the Goods are ready for dispatch made available at the factory on the agreed delivery date.
- eversyn will send the Goods to a location specified by the Customer, provided that the Customer expressly requests this ("Sale to Destination"). However, there is no obligation to organise a Sale to Destination. The Customer shall bear the costs of shipment. The choice of the specific shipping method is at the discretion of eversyn.
- The risk of accidental loss and accidental deterioration of the Goods shall pass to the Customer at the latest when the packaged and labelled Goods are made available at the eversyn plant on the delivery date or, in the case of a Sale to Destination, when the Goods are handed over to the forwarding agent, the carrier or other persons designated to carry out the shipment. This shall also apply if partial deliveries are made.
- eversyn shall only be entitled to make partial deliveries if
a. the partial delivery of Goods is reasonable and usable for the Customer within the scope of the contractual purpose,
b. the delivery of the remaining ordered Goods is ensured and
c. the Customer does not suffer any significant additional expenditure or additional costs as a result (unless eversyn agrees to bear these costs).
§ 5 Delivery Times and Delay in Delivery
- The delivery dates proposed by eversyn are only approximate unless a binding date has been expressly promised or agreed.
- Unless expressly stated otherwise by eversyn, the delivery dates refer to the time of handover to the freight forwarder, carrier or other third party commissioned with the transport.
- The delivery period begins with the conclusion of the ordering process, but at the earliest after the complete provision of the necessary documents, authorisations, permits, approvals and releases by the Customer. For Large Quantities the delivery period begins with the dispatch of the order confirmation by eversyn (or the acceptance of the order by fulfillment if no order confirmation is issued), but at the earliest after the complete provision of the necessary documents, authorisations, permits, approvals and releases by the Customer as well as the full payment of the purchase price.
- eversyn is liable for any damages of the Customer due to delay in delivery according to § 12 of these GTC.
§ 6 Purchase Price and Payment
- The Customer purchases the Goods at the price listed by eversyn on its website www.eversyn.de for the respective Goods on the day of the order. All prices quoted are net, i.e. subject to the applicable statutory VAT.
- The Customer may pay directly when placing the order or on account. In the case of payment on account, the invoice is due for payment without deduction within fourteen (14) calendar days of receipt of the invoice. This shall also apply to invoices for partial deliveries. Decisive for the timeliness of the payment is the receipt of payment on the account of eversyn.
- Upon expiry of the above payment deadline, the Customer shall be in default, even without a notice of default. The outstanding amount shall bear interest at the applicable statutory default interest rate from the due date. eversyn reserves the right to claim further damages caused by default.
- The Customer shall only be entitled to offset if their counterclaims are undisputed or have been recognised by final judgement. The Customer is only authorised to exercise a right of retention to the extent that their counterclaim is based on the same contractual relationship.
§ 7 Retention of Title
- In case of payment on account, the Goods shall remain the property of eversyn until full payment of all claims against the Customer arising from the business relationship, irrespective of whether the claims have already arisen at the time of conclusion of the contract, had arisen or will only arise in the future ("Reserved Goods").
- Until full payment has been made, the Customer must insure the Reserved Goods sufficiently against the usual risks (in particular, but not limited to, theft, destruction, damage) and treat them with the care of a prudent businessman. The Customer is obliged to keep the Reserved Goods in proper condition for the duration of the retention of title and to store them carefully and separately from other goods stored by the Customer.
- The processing or transformation of the Reserved Goods by the Customer is always carried out for eversyn. If the Reserved Goods are processed or mixed with other items not belonging to eversyn, eversyn shall acquire co-ownership of the new item in the ratio of the value of the Reserved Goods to the other processed items at the time of processing. The same provisions as for the Reserved Goods shall apply to the item created by processing or remodelling.
- The Customer is authorised to resell the Reserved Goods provided this is done in the orderly course of business. This shall not apply if he is in default with his payment obligations or if insolvency proceedings are opened against his assets, an application for the opening of such proceedings is filed or such an application is rejected for lack of assets.
- Claims of the Customer from the resale of the Reserved Goods are assigned to eversyn with the delivery of the respective Goods. If the Reserved Goods are sold after processing, mixing or combining with other products that are not the property of eversyn, the assignment shall only apply in the amount of eversyn's co-ownership of the sold item.
- eversyn authorises the Customer to collect the assigned claims for eversyn as long as the Customer is not in default of payment or eversyn revokes this authorisation. eversyn is entitled to revoke the purchaser's authorisation to sell by written declaration if the Customer is in default with the fulfilment of his obligations to us and in particular with his payments or if other circumstances become known which make his creditworthiness appear doubtful. After declaring the cancellation, the Customer shall immediately provide the information and documents required to assert the claims. Insofar as eversyn's claims are due, the collected amounts are to be transferred to eversyn immediately. At the request of eversyn, the Customer shall inform its own customers of the assignment of the claims to eversyn. The Customer is not authorised to assign the claims to third parties.
- The Customer is not authorised to pledge, transfer by way of security or otherwise encumber the Reserved Goods. As long as the ownership has not yet been transferred to the Customer, the Customer must inform eversyn immediately in writing if the Goods are seized or exposed to other interventions by third parties. He must inform the third party immediately and at his own expense of the retention of title and the ownership of eversyn. The costs incurred shall be borne by the Customer.
- In the event of behaviour contrary to the contract, in particular default of payment, the Customer is obliged to surrender the Reserved Goods still in his possession at eversyn's first request and to assign to eversyn any claims for surrender existing against third parties due to the Reserved Goods. The taking back and seizure of Reserved Goods by eversyn does not constitute a cancellation of the contract.
- Insofar as the value of the Reserved Goods exceeds the claims to be secured by more than 10%, taking into account customary bank valuation discounts, eversyn is obliged to release the Reserved Goods at its discretion at the request of the Customer.
§ 8 Regulation
- If the Goods are subject to the Chemicals Prohibition Regulation (“ChemVerbotsV”), the European Regulation on Registration, Evaluation, Authorisation and Restriction of Chemicals (REACH Regulation) or other regulatory provisions, the Customer is responsible for compliance with the regulatory provisions when storing, handling and using the Goods. This applies in particular in the event that eversyn provides safety data sheets in accordance with Art. 31 of the REACH Regulation.
- If documents (e.g. declarations of the end customer, licenses, safety data sheets) or information are required to fulfil legal obligations or are legitimately requested by eversyn, the Customer must provide these immediately.
- According to § 15 (1) sentence 1 of the German Packaging Act (‘VerpackG’), manufacturers and distributors of transport packaging (no. 1), sales and secondary packaging that does not typically accumulate as waste with private final consumers after use (no. 2), sales and secondary packaging for which system participation is not possible due to system incompatibility according to § 7 (5) of the German Packaging Act (‘VerpackG’) (no. 3), sales packaging containing harmful substances (No. 4) or reusable packaging (No. 5) shall be obliged to take back, used, empty packaging of the same type, shape and size as the packaging they have placed on the market at the place of actual delivery or in the immediate vicinity thereof, in order to reuse or recycle it. This ensures that the packaging material is returned to the recycling cycle. By providing information about the return options, the aim is to achieve better results in the return of packaging and to ensure a contribution to the fulfilment of the European recycling targets in accordance with EU Directive 2008/98/EC.
- Unless otherwise agreed, eversyn shall ensure the collection as well as the professional and proper disposal of the empty sales packaging, outer and transport packaging as well as packaging of the same type, shape and size delivered by us from the Customer in order to fulfil the take-back obligations in accordance with § 15 of the German Packaging Act ('VerpackG'). Collection shall take place at the Customer's request. The costs incurred for collection and disposal are to be covered by the Customer. If the packaging delivered by eversyn is not returned in accordance with this clause, the Customer shall be responsible at its own expense for the professional and proper disposal of the packaging, including collection from the end customer and/or from downstream third parties who are not end customers or from end customers of such downstream third parties. If the customer is the final distributor within the meaning of § 3 (13) of the German Packaging Act (‘VerpackG’), it is obliged pursuant to § 15 (1) sentence 5 of the German Packaging Act (‘VerpackG’) to take appropriate measures to inform end consumers to an appropriate extent about the possibility of returning packaging within the meaning of § 15 (1) sentence 1 nos. 1 to 5 of the German Packaging Act (‘VerpackG’) and its meaning and purpose.
§ 9 Inspection of incoming Goods
Upon receipt, the Customer must carefully inspect the Goods for defects. Possible defects must be reported to eversyn immediately, but no later than three days after the inspection in writing. Defects which are not recognisable during an immediate inspection (hidden defects) must be reported to eversyn in writing immediately after their discovery. If defects are not reported within the specified period, the Customer's warranty claims are excluded.
§ 10 Warranty
- If the delivered Goods are defective, eversyn can choose whether to provide subsequent fulfilment by remedying the defect (subsequent improvement) or by delivering a defect-free item (replacement delivery).
- The Customer shall take delivery of delivered Goods even in the event of insignificant non-conformities. Non-conformities shall be insignificant for example if there is no deviation from the specification, the non-conformity may be remedied with little effort, only other packaging than primary packaging is damaged or the damage is purely superficial.
- Returns will only be accepted for products that do not conform to the specifications provided by eversyn. The Customer must notify eversyn of any non-conformity within 14 days of receipt of the products. Returns must be authorized in advance by eversyn and are subject to inspection upon receipt.
- The Customer can assert warranty claims within twelve months of the transfer of risk. This limitation does not apply if eversyn is liable in accordance with § 11 of these GTC.
§ 11 Industrial Property Rights
- If the Goods infringe a third party’s industrial property right and/or copyright, eversyn shall within a reasonable time period either modify or replace the Goods in such a way that no third party rights are infringed, but the Goods continue to fulfil the contractually intended functions, or procure the right of use for the Customer by concluding a licence agreement. If eversyn does not achieve this within a reasonable period of time, the Customer shall have the right to withdraw from the individual contract. Eversyn does this at its own discretion and at its own expense.
- This obligation exists only if
a. the Customer immediately informs eversyn of any violations of industrial property rights and/or copyright asserted by third parties,
b. the Customer reasonably supports eversyn in the defence of the asserted claims or enables eversyn to carry out the measure in accordance with the preceding paragraph,
c. eversyn reserves the right to take all defence measures, including out-of-court settlements, and
d. the defect of title is not based on an instruction from the Customer, unauthorised modification of the Goods or the Customer's use of the Goods in a manner not in accordance with the contract.
§ 12 Liability
- The liability of eversyn and its organs, legal representatives, employees or other vicarious agents towards the Customer shall be unlimited only in case of intent and gross negligence.
- Otherwise, i.e. in the case of simple negligence, liability is excluded. However, this shall not apply in the event of a breach of an obligation which must be fulfilled in order for the contract to be properly executed and on the fulfilment of which the Customer regularly relies and may rely (material contractual obligations), in the event of injury to life, limb or health. In the event of a simple negligent breach of material contractual obligations, liability shall be limited to compensation for foreseeable, typically occurring damage.
- Liability in accordance with the provisions of the Product Liability Act remains unaffected by the preceding limitations.
- The Customer agrees to defend, indemnify and hold harmless eversyn from and against any and all third-party claims that the Customer is responsible for or that result from a breach of an obligation under these GTC. This also includes the necessary and proven costs of legal defence. eversyn will inform the Customer immediately in writing if third parties assert claims against eversyn which are based on a breach of duty by the Customer. eversyn will provide the Customer with all the information and documents necessary for its defence.
§ 13 Force Majeure
- Should eversyn be prevented from delivering the Goods by force majeure, in particular, but not limited to, pandemic, epidemic, war, unrest, refusal of export or import licences, terror, sabotage, failure of deliveries by upstream suppliers, industrial disputes at eversyn or the subcontractors commissioned by eversyn, by orders of the public authorities or by other circumstances unforeseeable at the time of conclusion of the contract, which are not within the power of eversyn to avert or cannot be achieved with a reasonable technical and economic effort, the affected delivery obligation of eversyn shall be suspended until these circumstances and their consequences have been eliminated. This applies even if eversyn is in default.
- In such cases of force majeure, the Customer cannot claim any compensation from eversyn. In these cases, eversyn will use all reasonable means to ensure that it can fulfil its delivery obligations again as soon as possible.
- For his part, the Customer shall also be released from his obligations in the event of force majeure for the period of suspension of the respective delivery obligation of eversyn.
- If the force majeure is not only of temporary duration, but persists for at least 90 days, the parties are authorised to withdraw from the respective order. In this case, eversyn shall immediately reimburse any payments already rendered by the Customer. However, a cancellation declared by the parties does not refer to partial deliveries already made.
§ 14 Export
- The Customer recognises that the Goods may be subject to export restrictions of the EU, the Federal Republic of Germany and other countries ("Export Regulations"). The Customer assures and warrants that he will not use, transfer, export or release Goods or items manufactured with Goods in a manner that violates applicable Export Regulations.
- In case of a breach of a provision of this section by the Customer, eversyn is entitled to immediately withdraw from the contract.
§ 15 Duty to inform and co-operate
- If the Customer becomes aware of accidents or incidents with the Goods that have led to personal injury or substantial property damage, he shall inform eversyn immediately. The Customer must co-operate fully with eversyn in the investigation of such accidents and provide eversyn with all relevant information.
- If and insofar as the Customer resells the Goods, the Customer shall oblige his own customers to fulfil the preceding information and co-operation obligations. The Customer shall further inform its customers of the product specifications and usage restrictions set out in § 2 of these GTC.
§ 16 General Provisions
- The place of fulfilment for all obligations of the Customer is Magdeburg.
- Transfer of rights and obligations of the Customer under the contract require the written consent of eversyn.
- The law of the Federal Republic of Germany shall apply. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.
- The exclusive place of jurisdiction for all disputes is Magdeburg.
- Additions and amendments to these GTC must be made in writing to be effective. This also applies to the amendment of this written form clause. Individual agreements made with the Customer in individual cases, including collateral agreements, supplements and amendments, shall in any case take precedence over these GTC. A written contract or the written confirmation of eversyn is generally authoritative for the content of such agreements. However, alternative evidence of the content by the Customer shall be permitted.
- Should provisions of these GTC be or become invalid in whole or in part or should an omission be found in these GTC or their supplements, this shall not affect the validity of the remaining provisions.
- In the event of any contradiction between the German and English version of these GTC, the German version shall prevail.
